California
Assembly Bill 2341 (Chapter No. 773) effective September 29, 2006
eliminated the requirement of filing a tax clearance from the Franchise
Tax Board (FTB) for dissolution of a domestic corporation, limited
liability company or limited partnership. State forms to be filed
with the Secretary of State Business Services Division on or after
September 29, 2006 must include a statement that a final franchise
tax return or a final annual tax return has been or will be filed

Assembly Bill 339 (Chapter No. 495) enacted the Uniform
Limited Partnership Act of 2008 and repealed existing LP laws effective

Assembly Bill 2914 (Chapter No. 426) extends the sunset
date on licensed architects' ability to organize as limited liability
partnerships (LLPs) to January 1, 2012, and increases the minimum
liability coverage requirements for architectural LLPs to $1 million
(from $500,000) as of January 1, 2008

Senate Bill 1207 (Chapter No. 871) allows a corporation
to amend its bylaws to allow the use of majority (rather than plurality)
voting to elect a member of the board of directors of a publicly-traded
California corporation, in an uncontested election, as specified,
and requires the term of a seated member of the board who fails
to receive a majority vote in an uncontested election to end within

Connecticut
House Bill 5541 (Public Act No. 57) effective October 1, 2006 amends
the Partnership Act regarding conversion of a domestic partnership
to a limited liability company. Senate Bill 547 (Public Act No.
68) effective October 1, 2006 amends the Business Corporation Act
and Revised Nonstock Corporation Act regarding duties and responsibilities
of directors and officers of business corporations and nonstock

Ohio
House Bill 301 (Session Law No. 133) effective October 12, 2006
simplified the steps for Ohio business entities to convert from
one entity type to another by filing a certificate of conversion
at the Secretary of State Business Services Division. The bill text

Motor Vehicle Updates
COLORADO If a vehicle has an odometer
reading over 1500 miles and has never been titled, application for
title must be in the Dealer's name first and then transferred to
the new owner. Vehicles are exempt from odometer requirements if
the vehicle is over 16,000 lbs. (unladen weight).
FLORIDA You may obtain an 18 month
tag if the renewal date is within 3 months of expiration.
MONTANA Drivers must include their
driver's license number as part of the owner information when submitting
their vehicle renewals.
NEVADA Smog checks are required on
all gasoline and diesel powered cars and trucks, 1968 and newer
that are based in most areas of Las Vegas and Reno. New vehicles
are exempt on their first and second registration. Diesel vehicles
over 10,000 gross vehicle weight are exempt. Call 702-486-4981 in
