Statutory Updates and Business Entity/Trademark Filing News

Colorado

House Bill 1135 passed both houses and was sent to governor March 15 and upon signature becomes effective July 1, 2007. The bill clarifies existing law for mergers and conversions; expands the definition of principal address to include business locations other than an office, clarifies the end of LLC membership, and allows limited partnerships to file annual reports with the state. Idaho

House Bill 1018 (Session Law Chapter 63) enacting Electronic Real Property Electronic Recording Act was signed by governor March 12 and is effective July 1, 2007. Click here to read more.

House Bill 1019, enacting Idaho Entity Transaction Act allowing conversions and mergers of business organizations, passed both houses and was sent to governor on March 15 and upon signature is effective July 1. Click here to read more.

House Bill 1150 (Session Law 66), signed by governor March 13 and effective July 1, brings Idaho Code into compliance with federal bankruptcy code for purpose of perfecting a security interest in a vehicle. Click here to read more.

Iowa

House File 258 signed by governor March 14 requires directors of non-profit corporations to devote attention to their oversight functions with the care that a person in a like position would reasonably believe appropriate under similar circumstances. The bill also authorizes directors to rely on certain information, opinions, reports, or statements presented to them so long as they do not have knowledge that makes the reliance unwarranted. Senate Bill 2684 making technical corrections to the Model Business Corporations Act passed both houses, was approved by the governor March 15 and is effective July 1. Click here to read more.

Montana

House Bill 158 revising filing requirements to permit execution of annual reports for corporations and LLCs by an authorized agent and allowing correction of certain errors on documents passed both houses and was sent to the governor March 15. Click here to read more.

Senate Bill 2153 enacting the North Dakota Registered Agents Act was signed by the governor March 16 and becomes effective July 1, 2008. Click here to read more.

Motor Vehicle Updates

Colorado

Changes have been made to some of the CO Division of MV Forms. All requests for Title Record Searches, Title Histories and Dealer Titles should include the DR2539 form with the proper box checked in addition to the Requestor Release and Affidavit of Intended Use form (DR2489) Duplicate Title Requests should be submitted using the DR2539A.

The DR2539, Title Information Request form and DR2539A, Duplicate Title Request has been updated and can be obtained through the Revenue website at www.revenue.state.co.us.

Missouri

The MO DMV no longer offers over the counter expedited services. They have announced all titles will be processed and completed within 48 - 72 hours and will then be mailed.

South Dakota

Leased Vehicles - The Department of Revenue and Regulation, Division of Motor Vehicles is in the process of developing a new title and registration computer system. The new system will be able to provide the Lessor and Lessee Federal Identification number to which your vehicle information will be associated.

The Lessor & Lessee Federal ID number will now be required on all future title and registration leased vehicle transactions that are conducted.

Utah

An original VIN Inspection and Safety Inspection are no longer required to be submitted at the time of Title and Registration. Copies of these two inspections will now be accepted.
