Product Updates

UCC (www.incspot.com)

We are pleased to announce that there will be several new enhancements to UCCXpress which will be released July 1, 2007:

1. The FORMS EXPRESS link on the left navigation bar will be changed to CREATE A FILING. We believe that this change will make the functionality clearer for all of our users.

2. When preparing a UCC Filing for an entity that was formed outside of the United States we will provide you with the ability to select “Other” as a jurisdiction of organization and then provide you with the ability to type in the name of the Jurisdiction of Organization.

3. We have also added county locator functionality so you can enter the name of a city name into the locator and look up the appropriate county when creating Real Property UCC filings.

CSC® Publications (www.incspot.com)

CSC® Publications, in collaboration with LexisNexis® Matthew Bender®, is pleased to announce the release of the 2007 edition of Massachusetts Laws Governing Business Entities. We have significantly expanded the scope of this year’s edition to include the Investment Securities Article of the Uniform Commercial Code, and the Uniform Securities Act. You will also find recently revised statutory law on trademark registration and protection, as well as over fifty new case annotations highlighting key business entity opinions.

The 2007 edition continues to include commentary provided by the Task Force Working Group on the Revision of the Massachusetts Business Corporation Law. Each statute is followed by notes indicating the amending act number and year, as well as a detailed description of the resulting statutory change. The act information dates from the early 19th century and the statutory change details reach back to the 1960s.

The companion CD-ROM contains over 150 Massachusetts forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types. A listing of the forms and contact information for the Massachusetts Division of Corporations can be found in the book’s appendix.

This comprehensive compilation of business statutes, annotations and related materials is an indispensable resource for legal and corporate professionals doing business under Massachusetts law.
