The Fall 2007 Edition of Delaware Laws Governing Business Entities is now available
The recently-released Fall 2007 edition of Delaware Laws Governing Business Entities is now available for purchase, and the updates found in the book are already on the companion website.
Volume 1 of the updated set contains the latest legislation from the 2007 Regular Session of the Delaware General Assembly, featuring over 100 separate amendments to key areas of Delaware business entity law for general corporations, limited liability companies, and partnerships. We have added to the book fifty annotations to recent Delaware Chancery and Supreme Court opinions, including the expansion of the right to bring direct claims (Rhodes) and a discussion of the standards to be used in analyzing acquisitions by private equity firms (Lear, Topps).
