Alaska

House Bill 295 (Chapter 76) signed by governor June 6 and effective June 10 modifies UCC filing and recording procedures at the Department of Natural Resources Recorder’s Office to enable return of original documents to presenter at time of recording, ensure all required recording information is located on document, and update UCC forms reference in statute to conform with national standards. Delaware

Senate Bill 213 (Chapter 234) signed by governor June 3 and effective for taxable years beginning after December 31, 2008 permits certain types of corporations to apportion income based on a single ratio of Delaware sourced gross receipts from asset management services to all gross receipts from asset management services, rather than the 3 ratio average apportionment factor used by other corporations.

Florida

House Bill 419 signed by governor June 17 amended business entity statutes effective July 1, 2008 to eliminate duplicative filing requirements for entities merging or converting to other entity types and would permit mergers between domestic professional corporations and LLCs and out-of-state professional corps or LLC.
