CSC® Media
(www.cscglobal.com/publications)
CSC® Media, in collaboration with LexisNexis® Matthew Bender®, is pleased to announce the October 30th release of the 2008 Fall Edition of New York Laws Governing Business Entities.
The scope of this Fall 2008 Edition incorporates the latest legislative changes through Chapter 391 of the 2008 Legislative Session, including:
- Changes to filing requirements for mergers and consolidations across all business entities.
- Changes to the Business Corporation Law, including expansion of when a dividend may be declared or paid.
The judicial and legislative analysis written by distinguished professor J. Kirkland Grant has also been updated. In this summary, Professor Grant considers almost twenty years of the key court opinions and statutory enactments, which will be useful to business entity law practitioners who counsel New York entities.
Other valuable features include:
Table of New Annotations identifying the 110 new case annotations that we’ve added since the Spring 2008 Edition. You will also find the full text of five case opinions that explore recent and significant judicial developments.
Companion CD-ROM containing over 90 forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types. You will find a listing of forms and contact information for New York’s Division of Corporations in the book’s appendix B.
