California
The California Office of the Attorney General has sued 8 individuals and 6 businesses operating scams which are deceptive solicitations mailed to business entities regarding annual reports or corporate minutes compliance.  The AG’s office has received more than 5,000 complaints against scammers who mail solicitations which appear to look like government forms with an official looking seal, an official sounding name, and citations to the California Corporations Code.   The following link should open to a press release on the AG’s website:  http://ag.ca.gov/newsalerts/release.php?id=1817& 

District of Columbia
Bill 500 introduced in the DC Council would revamp all business entity statutes in the District of Columbia and replace with a Business Organizations Code.  The process following council approval requires approval by mayor (or council override of mayoral veto), a 30-day congressional review period, and publication in the DC Register.

New York
The Business Corporation Law and Not-for-Profit Corporation Law were amended effective October 1, 2009 regarding the procedures for filing Certificates of Dissolution with the Department of State. All Certificates of Dissolution for corporations that have done business in the City of New York and incurred tax liability under Chapters 6-8, 10-15, 21, 24-25 or 27 of Title 11 of the Administrative Code of the City of New York, must include the written consent of the New York City Commissioner of Finance. Assembly Bill 9131 introduced September 4 would amend the Religious Corporation Law to set the fee at $50 in every county for filing and recording articles of incorporation for churches.  County filing fees currently range from $25 to $150.

Oregon
A state voter reference will occur on January 26, 2010 for Ballot Measures 66 (personal income taxes) and 67 (corporate taxes).  House Bill 3405 signed by governor 7/20/2009  increased minimum corporate taxes and other fees, but implementation is delayed until the voter referendum.  Section 11 of the bill increases Secretary of State Business Services filing fees for domestic entities from $50 to $100 and for foreign entities from $50 to $275. Section 15 of the bill increases UCC filing and indexing fees from $10 to $15.  HB 3405 can be accessed at

Rhode Island
House Bill 5492 vetoed by governor November 9 would have required 45-day notice of intention to foreclose to be sent to consumer mortgagors.

Texas
Initial reports to Office of the Comptroller of Public Accounts are replaced by an annual report to be filed as the first franchise tax report filed by a taxable entity subject to the tax on or after October 4. The first annual report will be due May 15 of the year after the calendar year the entity became subject to the tax.  More information is available on Comptroller website at
