Alabama

Alaska
Biennial reports due January 2 for profit corporations, professional corporations, LLCs and LLPs which incorporated or qualified in an even numbered year will incur late fee penalties as of February 1. Online filing is available at

California
The Secretary of State Business Programs Division updated a notice of change that all limited partnerships in the state effective January 1, 2010 are governed by the Uniform Limited Partnership Act of 2008 which modified certain naming requirements, name reservations and filing requirements from previous law.

Effective January 4, certificates of status and status reports no longer are available from the Secretary of State’s Los Angeles and San Diego regional offices. Requests for certificates of status must be mailed or delivered to the Sacramento filing office.

Delaware
All domestic corporations must file an online annual report and pay franchise tax by March 1, 2010. Tax notices from the Secretary of State were sent in December to the registered agent on file to forward to domestic corporations. The annual report must contain the names and addresses of all directors as of the filing date and the officer who signs the report. Information on CSC’s Delaware e–filing service can be accessed at

District of Columbia
Bill 203 (Act 255), known as Fiscal Year 2010 Budget Support Act of 2009, was signed by mayor December 18 and will be effective after 30-day Congressional review period and publication in DC Register. Subtitle E of Title 2 Economic Development and Regulation of the bill (i) provides for business license renewal penalties of $250 if a lapsed license is renewed within 30 days of expiration date and $500 within 6 months and (ii) amends the DC business entity statutes to provide for expedited filing service fees of $100 for same day service and $50 for 3-day service. Georgia

Mississippi
The Secretary of State Business Services Division announced reductions effective January 4 in the online filing fee for corporation annual reports from $25.00 to $22.00 and in the online convenience fee from $2.00 to $1.25, making the total cost $23.25 to file online versus $25.00 through the mail. Missouri
