Happy New Year! I hope your 2010 is off to a great start.

Here at CSC® Media, we are hard at work preparing the first books of the year for release. Our California statutes book—the only one of its kind—was released in January, and the Illinois statutes book is at the printer. We are also getting ready for the March release of The Directors’ Handbook and the Spring 2010 Edition of Delaware Laws Governing Business Entities.

The reason for this letter is to make sure you know about our complete collection of publications, but more importantly, it is because we want to hear from you. We want you to tell us what we can do to help you save money and work more efficiently. At CSC® Media, we are committed to bringing you the content you’re looking for in a format that is cost effective, convenient and easy to use.  

For example, we got started several years ago because customers needed an easy way to access business statutes and annotations. We listened, and today we publish annotated statutes collections for twelve jurisdictions:  Delaware, New York, California, Illinois, Massachusetts, Nevada, Virginia, Pennsylvania, Florida, New Jersey, Maryland and the District of Columbia.

Our flagship publication, Delaware Laws Governing Business Entities, is published twice a year and includes many unique features, a number of which were the result of reader feedback. Special features include a chapter on Amounts Payable that lists all fees and taxes payable by corporations and other business entities under Delaware law; the full text of the Chancery Court Rules; and Articles 1, 8 and 9 of the Uniform Commercial Code. You’ll also find expert legislative analyses and Blackline Amendment Notes that indicate the effect of the most recent amendments. Volume 2 is a collection of published and unpublished annotations from State and Federal Courts decided under Delaware business entity law. Also included is the full text of recent key Delaware business entity opinions.

So now we’re asking you: How do you like the Delaware and other jurisdiction books? Is there additional content you’d like to see included, or new features? What else do you need? Is there a better way for us to deliver this information to you? Should we start tweeting?

Similarly, customers continued to ask us for assistance regarding whether they needed to qualify to do business in a foreign state. Our answer? The 50-State Qualification Handbook, a comprehensive and easy-to-use resource that provides the tools you need to answer tough qualification questions. The book provides case illustrations and explains which business activities do and don’t trigger qualification requirements. There are quick reference charts, a chapter on Internet activities, qualification statutes, and a CD-ROM with fillable forms.

Corporate Governance is another area of concern to our readers, particularly in these times of heightened director scrutiny. With The Directors’ Handbook, CSC® Media provides directors with the information they need. Concise, well-written, and published in user-friendly paperback format, The Directors’ Handbook discusses the evolving role of the director, presenting a detailed overview of the issues directors face in the wake of corporate scandals and heightened liability.

The book offers insight on how to best handle executive compensation, hostile takeover attempts and proxy battles, as well as analysis of critical issues such as creating an audit committee charter, crisis management, and director and officer insurance. Also included is information about majority (rather than plurality) voting for directors; staggered board repeals; best practices for handling restatement crises; and the political economy of corporations.

Finally, we developed The UCC Filing Handbook in response to our customers’ repeated requests for help with Uniform Commercial Code Filings. We went to our in-house experts who handle filings day in and day out, and got the information we needed to create the handbook.

The handbook has everything to ensure that every filing is done correctly, every time. Chapter material covers the most important topics related to UCC filings, and there are also detailed instructions for completing each of the national UCC filing forms. Sample forms have been included, as well as a glossary of key UCC terms.

The UCC Filing Handbook comes with a companion State book that includes state-specific instructions, exceptions and idiosyncrasies related to UCC filings. Our experts consulted with state officials in all jurisdictions to make sure our book is complete. We also provide an e-update service to apprise you of changes without delay and free access to an online version of the handbooks.
